1. About these Terms
These Website, ALLIX Reputation Assessment and Data-Use Terms (“Terms”) govern your access to and use of:

the website at www.luibhullar.com and its related pages (“Website”);

the ALLIX reputation-assessment form, reports and related features (“Assessment Service”);
-
any information, reports, communications or services made available through the Website; and
-
the collection, use, storage, disclosure and other processing of information submitted through the Assessment Service.
The Website and Assessment Service are operated by Lui & Bhullar [insert full registered entity or partnership name and registration number], referred to in these Terms as “LB”, “we”, “us” or “our”.
By accessing the Assessment Service, submitting information, selecting the consent checkbox or otherwise using the Website, you acknowledge that you have read and understood these Terms and agree to be bound by them.
If you do not agree, do not submit information or use the Assessment Service.
2. Important preliminary notice
The Assessment Service provides a preliminary, technology-assisted assessment based on:

automated analysis;
-
external search and information-processing services; and
-
internal assessment criteria developed or selected by LB.
An assessment is not:

legal advice;

a legal opinion;

a factual finding;

a due-diligence report;

a background check;
-
a court or regulatory determination;
-
a guarantee of reputation outcomes;
-
a substitute for professional investigation; or
-
confirmation that any allegation or publication is true.
You must independently verify material information before relying on, communicating or acting upon an assessment.
3. Definitions
In these Terms:
“Assessment” means any score, classification, summary, analysis, risk indicator, reference list, recommendation or report generated through the Assessment Service.
“Collected Data” means information collected directly from you, automatically through the Website, from publicly accessible sources, or generated through the Assessment Service.
“Personal Data” means information relating directly or indirectly to an identified or identifiable living individual.
“Public Sources” means websites, directories, news publications, professional profiles, public records, social-media pages and other information that is publicly accessible or lawfully made available to the Assessment Service.
“Submitted Content” means names, business details, URLs, statements, background information, instructions, documents and other content supplied by you.
“Service Provider” means an organisation engaged to provide hosting, website, security, CAPTCHA, communications, storage, analytics, search, artificial-intelligence, professional or other supporting services.
4. Eligibility and authority
You may use the Assessment Service only if:

you are at least 18 years old;
-
you have legal capacity to agree to these Terms;
-
the information you submit is lawful;
-
you are using the service for a legitimate purpose; and
-
where you act for a company, organisation or another person, you are authorised to act for that party.
If you submit Personal Data concerning another person, you represent and warrant that:

you have a lawful basis and any required authority or consent to provide it;
-
providing it does not breach any duty of confidentiality, privacy obligation, court order or applicable law;
-
the information is reasonably necessary for the requested assessment; and
-
you have provided any notice to that person required by law.
LB may request evidence of your identity, authority or lawful purpose and may refuse or suspend an assessment if satisfactory evidence is not provided.
5. No solicitor-client relationship
Submitting information, receiving an Assessment, communicating through the Website or receiving a response from LB does not by itself:

create a solicitor-client relationship;
-
constitute LB’s acceptance of any legal engagement;
-
require LB to act for you;
-
prevent LB from acting for another party;
-
complete any conflict-of-interest check; or
-
make Submitted Content legally privileged.
A solicitor-client relationship arises only when LB expressly accepts an engagement in writing and any required engagement terms are completed.
Do not submit legally privileged, highly confidential or time-sensitive material through the Assessment Service unless LB has specifically requested it through an approved channel.
Nothing in these Terms excludes any professional duty that cannot lawfully be excluded.
6. Nature of the Assessment
The Assessment may include:

identification of a possible person, business or organisation;

summaries of public profiles and web references;
-
preliminary reputation and damage-risk scores;
-
positive, neutral and negative indicators;
-
summaries of reported allegations;
-
possible commercial, legal, media and search-visibility risks;
-
links to Public Sources;
-
preliminary recommendations; and
-
limitations or confidence indicators.
Scores and classifications are internal preliminary indicators. They are not objective measurements and may change when different information, time periods, search results or assessment criteria are used.
LB may modify its assessment methodology, scoring, categories, prompts, search methods and internal criteria at any time.
7. Public-source research
You authorise LB and its Service Providers to search for, retrieve, review, extract, organise, compare and summarise publicly accessible information relating to the submitted subject.
Public Sources may contain:

inaccurate information;
-
outdated information;
-
opinions;
-
allegations;
-
duplicated material;
-
incomplete reports;
-
unauthorised publications;
-
misleading information; or
-
content published outside Malaysia.
The inclusion of a source does not mean that LB endorses the source or accepts its contents as true.
Where reasonably practicable, the Assessment will distinguish between verified facts, reported claims, allegations, opinions and inferences. However, automated or preliminary analysis may not always classify information correctly.
LB may exclude a source, limit the number of references, or stop an assessment where identity cannot be established with reasonable confidence.
8. Information we may collect
Depending on your use of the Website and Assessment Service, Collected Data may include:

LB may generate:

relationship or entity-matching information;

confidence assessments;

recommendations;
-
usage statistics;
-
quality and accuracy measurements;
-
patterns and trends;
-
audit records; and
-
de-identified or aggregated datasets.
9. Sources of Personal Data
We may obtain Personal Data from:

a person acting for you;

publicly accessible websites and records;
-
professional and business directories;
-
Service Providers;
-
our correspondence and records;
-
cookies and Website technologies; and
-
information lawfully supplied by another person or organisation.
10. Why we collect and use the data
Subject to applicable law, you authorise LB to collect, record, organise, store, adapt, retrieve, consult, analyse, combine, disclose, transfer, restrict, delete and otherwise process Collected Data for the following purposes:

10.2 Responding and following up

determining whether LB may be able to assist;

carrying out preliminary administrative or conflict checks where requested;

preparing a service proposal;

managing appointments; and

following up on services requested by you.
An Assessment does not oblige you to engage LB or oblige LB to accept an engagement.
10.3 Operating and protecting the Website

detecting abuse, fraud, automated attacks and unauthorised activity;

enforcing these Terms;

troubleshooting;
-
maintaining service reliability;
-
preventing excessive or unlawful use;

investigating complaints;
-
managing incidents and data breaches; and

protecting LB, its personnel, clients, users and systems.
10.4 Internal quality assurance and improvement
LB may use Collected Data and Assessments to:

review assessment quality;
-
evaluate accuracy and consistency;
-
test and improve prompts, scoring criteria and internal workflows;
-
identify false matches and other errors;
-
train authorised personnel;
-
improve the Website and Assessment Service;
-
develop internal precedents, taxonomies and risk indicators;
-
conduct internal research;
-
audit system performance; and
-
develop new or improved reputation-management, legal-support and professional services.
Where reasonably practicable, LB will use de-identified or aggregated information for these purposes.
Authorised LB personnel may review submissions and Assessments for quality assurance, support, security and service improvement.
10.5 Research, analytics and benchmarking
LB may create and use aggregated, statistical or de-identified information for:

research;
-
trend analysis;
-
benchmarking;
-
service planning;
-
internal reporting;
-
business intelligence;
-
presentations;
-
publications;
-
training;
-
product and service development; and
-
demonstrating general patterns or capabilities.
Such information will not be presented as relating to you where it can reasonably identify you.
Information that has been irreversibly de-identified so that no individual is reasonably identifiable may be retained and used by LB without the retention limits applicable to Personal Data.
LB will not deliberately re-identify irreversibly de-identified information except for security testing, validation or as required by law.
10.6 Legal, regulatory and professional purposes

complying with laws, regulations, court orders and professional obligations;

responding to lawful requests;
-
establishing, exercising or defending legal claims;
-
obtaining professional advice;
-
conducting audits;
-
maintaining insurance;
-
managing complaints and disputes; and
-
keeping records required for legal or professional purposes.
11. Lawful processing and consent
LB will process Personal Data only where permitted by applicable law, including where:

you have consented;
-
processing is necessary to provide a service requested by you;

processing is necessary to take steps at your request before entering a contract;
-
processing is required by law;
-
processing is necessary for the administration of justice;
-
processing is necessary to establish, exercise or defend legal rights; or

Where express consent is required, you may withdraw it prospectively by contacting LB. Withdrawal does not invalidate processing lawfully carried out before withdrawal.
If information is required to generate the Assessment, failure to supply it may prevent LB from providing the Assessment Service.
12. Data-use permission granted to LB
You grant LB a worldwide, non-exclusive, royalty-free licence to host, copy, reproduce, convert, structure, analyse and otherwise use Submitted Content only:

to provide and operate the Assessment Service;
-
for purposes described in these Terms;
-
to comply with law or professional obligations;
-
to protect or enforce legal rights; and
-
to create aggregated or de-identified information.
This licence does not transfer ownership of your Submitted Content to LB.
The licence continues for as long as reasonably required for the stated purposes. Rights concerning irreversibly de-identified or aggregated information may continue indefinitely.
LB will not sell or rent identifiable Personal Data as a standalone commercial product.
13. Marketing communications
LB may send service-related communications concerning your submission without separate marketing consent.
LB will send promotional or direct-marketing communications only where permitted by law and, where required, after obtaining separate consent.
You may unsubscribe using the method stated in the communication or by contacting LB.
Withdrawal from marketing does not prevent LB from sending necessary administrative, security, legal or service-related communications.
Marketing consent must not be made a condition of receiving a free preliminary Assessment unless legally permitted and clearly disclosed.
14. Parties to whom data may be disclosed
LB may disclose Collected Data, where reasonably necessary, to the following classes of recipients:

LB’s partners, lawyers, employees and authorised personnel;

cloud-storage and database providers;
-
artificial-intelligence and information-processing providers;

web-search and public-information providers;

CAPTCHA, cybersecurity and fraud-prevention providers;

consultants, auditors, insurers and professional advisers;

contractors bound by appropriate confidentiality and data-protection obligations;

regulators, courts, enforcement bodies and public authorities;

parties involved in legal proceedings;

a purchaser, successor or restructuring party in connection with a genuine merger, acquisition, restructuring or transfer of LB’s practice or assets; and

other recipients authorised by you or permitted by law.
Service Providers may process information only for authorised purposes and subject to applicable contractual, security and confidentiality requirements.
15. Overseas processing and transfers
Some Service Providers may process or store information outside Malaysia.
You acknowledge that providing the Assessment Service may involve transferring Personal Data to countries whose data-protection laws differ from those in Malaysia.
LB will undertake such transfers only in accordance with applicable Malaysian law and will take reasonable steps appropriate to the transfer, which may include:

assessing the receiving jurisdiction or recipient;
-
using contractual data-protection provisions;
-
limiting the information transferred;
-
applying access controls and security measures;
-
obtaining consent where required; and
-
keeping appropriate transfer records.
By requesting the Assessment Service and accepting this notice, you consent to overseas transfers where consent is the applicable transfer condition and where the relevant purpose and recipient class have been disclosed.
16. Security
LB will take practical and reasonable steps designed to protect Personal Data against:

unauthorised access;

accidental access;

unauthorised disclosure;

accidental disclosure; and

destruction.

No Internet transmission, cloud platform or storage system can be guaranteed to be completely secure. You submit information at your own risk, subject to rights that cannot lawfully be excluded.
You must not send passwords, payment-card details, identity-document numbers, medical information or highly sensitive information unless LB has expressly requested it through an approved secure channel.
17. Retention
LB may retain:

preliminary Assessment submissions, contact details and reports for up to 24 months after the last relevant interaction;
-
security, access and technical logs for the period reasonably necessary for security, audit and troubleshooting;
-
complaint, dispute and enforcement records for the applicable limitation period;
-
information required by law, court order, professional obligation, insurance requirement or legal hold for the required period; and
-
information forming part of an accepted client matter in accordance with LB’s client-file retention policies and engagement terms.
LB may retain irreversibly de-identified or aggregated information indefinitely.
When Personal Data is no longer reasonably required, LB will take reasonable steps to delete, destroy or de-identify it, subject to backup cycles and lawful retention requirements.
18. Your data-protection rights
Subject to applicable law and permitted exceptions, you may request:

confirmation of whether LB processes your Personal Data;
-
access to your Personal Data;
-
correction of inaccurate, incomplete, misleading or outdated information;
-
information about the purposes of processing;
-
information about relevant classes of recipients;
-
limitation of certain processing;
-

LB may require information to verify your identity before processing a request.

19. Automated analysis and human review
The Assessment Service uses automated processing to create preliminary scores, summaries, classifications and recommendations.
The Assessment is informational and is not intended to make a decision producing legal or similarly significant effects concerning you without appropriate human review.
You may contact LB to:

report an apparent error;
-
provide additional context;
-
request clarification;
-
contest an incorrect identity match; or
-
request human review of a material concern.
A request for review does not require LB to provide a legal opinion or accept a professional engagement.
20. Your responsibilities
You agree to:

provide accurate and current information;
-
use the Assessment Service only for lawful purposes;
-
review the identity of the assessment subject;
-
independently verify material results;
-
treat allegations as unproven unless authoritatively established;
-
comply with privacy, confidentiality, defamation and intellectual-property laws;
-
protect your submission reference and device access;
-
avoid submitting excessive or irrelevant Personal Data; and
-
immediately notify LB if you become aware of unauthorised use or a material error.
21. Prohibited uses
You must not use the Website, Assessment Service or any Assessment:

to harass, stalk, threaten or intimidate;
-
to discriminate unlawfully;
-
to facilitate doxxing or exposure of private information;
-
to defame another person;
-
to manufacture, exaggerate or republish allegations as facts;
-
to impersonate another person;
-
to conduct unlawful surveillance;
-
to make an automated employment, credit, insurance, housing or similarly significant decision;
-
to evade legal or regulatory requirements;
-
to infringe privacy, confidentiality or intellectual-property rights;
-
to reverse engineer, scrape or overload the service;
-
to bypass CAPTCHA, access controls or usage limits;
-
to submit malicious code;
-
to obtain information for criminal or fraudulent purposes;
-
to resell or commercially exploit an Assessment without LB’s written permission; or
-
in any manner that may expose LB or another person to unlawful conduct or liability.
LB may reject, suspend or terminate any request that appears unlawful, abusive, misleading, technically harmful or inconsistent with these Terms.
22. Confidentiality and privilege limitations
LB will handle submitted information in accordance with these Terms and applicable obligations. However:

use of the public Assessment Service is not a confidential legal consultation;

submission does not automatically create legal professional privilege;
-
Service Providers may process information as described in these Terms;
-
information may be disclosed where legally required; and
-
Public Sources are not made confidential merely because they are included in an Assessment.
If you require confidential legal advice, contact LB and obtain confirmation of an accepted engagement before providing confidential instructions.
23. Ownership and permitted use of Assessments
LB and its licensors retain ownership of:

the Website;
-
Assessment Service;
-
software;
-
prompts and methodologies;
-
report formats;
-
scoring systems;
-
branding;
-
databases;
-
selection and arrangement of content;
-
internal precedents; and
-
other intellectual property created by or for LB.
Subject to these Terms, LB grants you a limited, revocable, non-exclusive, non-transferable licence to use your Assessment for personal or internal business evaluation.
You must not:

present the Assessment as a legal opinion;
-
alter it in a misleading manner;
-
remove disclaimers;
-
resell it;
-
use it to defame or unlawfully disadvantage another person;
-
imply that LB verified every underlying claim; or
-
publish it as an established factual determination.
Public Sources remain owned by their respective publishers or rights holders.
24. Submitted Content
You retain any ownership rights you have in Submitted Content.
You represent and warrant that:

you are entitled to submit it;
-
its submission is lawful;
-
it is not deliberately false or misleading;
-
it does not contain malicious code;
-
it does not infringe another person’s rights; and
-
you have not knowingly included unnecessary sensitive information.
LB may remove, restrict or decline to process Submitted Content that may breach these Terms or expose any person to harm.
25. Third-party sources and links
The Website and Assessment may contain links to third-party websites.
LB does not control and is not responsible for:

third-party content;
-
availability;
-
accuracy;
-
privacy practices;
-
security;
-
later changes to a page;
-
content appearing after the Assessment; or
-
consequences of accessing a third-party link.
A link does not constitute endorsement.
You should review the terms and privacy notices of third-party services before using them.
26. No warranties
To the fullest extent permitted by law, the Website and Assessment Service are provided on an “as is” and “as available” basis.
LB does not warrant that:

the Website will always be available;
-
the Assessment will be complete;
-
all public references will be found;
-
search results will remain unchanged;
-
every source will be accurate;
-
identity matching will always be correct;
-
automated summaries will be error-free;
-
scores will predict actual harm;
-
recommendations will produce a particular outcome;
-
third-party content will remain available; or
-
use of the service will prevent, repair or remove reputational harm.
Nothing in these Terms excludes an express statutory guarantee or right that cannot lawfully be excluded.
27. User decisions and reliance
You remain responsible for:

deciding whether to rely on an Assessment;

obtaining legal or other professional advice;
-
verifying sources;
-
assessing commercial consequences;
-
ensuring fairness to affected persons;
-
complying with applicable laws; and
-
making final decisions.
LB is not responsible for action taken solely on an unverified automated or preliminary Assessment.
28. Limitation of liability
To the fullest extent permitted by law, LB will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss arising from the Website or Assessment Service, including loss of:

profit;
-
revenue;
-
opportunity;
-
goodwill;
-
reputation;
-
anticipated savings;
-
business;
-
data; or
-
use.
To the fullest extent permitted by law, LB’s aggregate liability arising from a particular Assessment will not exceed the greater of:

the fees paid directly to LB for that Assessment during the preceding six months; or
-
RM500.
These limitations do not apply to liability that cannot lawfully be limited or excluded, including liability arising from fraud or any other category expressly protected by applicable law.
Nothing in these Terms limits obligations imposed on LB by applicable professional rules where those obligations cannot lawfully be limited.
29. Indemnity
To the fullest extent permitted by law, you agree to indemnify and hold harmless LB and its partners, personnel and contractors from third-party claims, losses, liabilities, penalties, costs and reasonable legal expenses arising from:

your unlawful use of the Assessment Service;
-
your breach of these Terms;
-
Submitted Content you were not entitled to provide;
-
your infringement of privacy, confidentiality, intellectual-property or other rights;
-
your publication or use of an Assessment as a proven factual finding;
-
defamatory, misleading or unlawful statements made by you; or
-
your unauthorised use of another person’s information.
This indemnity does not apply to the extent that the relevant loss was directly caused by LB’s fraud, wilful misconduct or liability that cannot lawfully be excluded.
30. Availability, changes and suspension
LB may:

modify the Assessment Service;
-
change the methodology;
-
introduce usage limits;
-
restrict access;
-
withdraw features;
-
refuse a submission;
-
suspend the service for maintenance or security; or
-
discontinue the service.
LB is not obliged to preserve a particular feature, score, report format or external source.
Where reasonably practicable, material changes affecting existing users will be communicated through the Website or another appropriate method.
31. Complaints
Complaints concerning the Assessment Service should be sent to:

Where a material change introduces a new purpose requiring consent or notice, LB will provide further notice or obtain consent where required by law.
Continued use after the effective date constitutes acceptance of the updated Website terms, but does not override any consent or notice requirement imposed by law.
33. Governing law and jurisdiction
These Terms are governed by the laws of Malaysia.
Before commencing proceedings, the parties should attempt in good faith to resolve a dispute by written notice and discussion for at least 30 days, unless urgent relief is reasonably required.
Subject to any mandatory rights or jurisdiction that cannot be excluded, the courts of Malaysia have exclusive jurisdiction over disputes arising from these Terms, the Website or Assessment Service.
34. General provisions
34.1 Entire agreement
These Terms, together with any specific notice or written agreement expressly applicable to the service, form the agreement governing use of the Assessment Service.
A separately executed legal-services engagement letter prevails in relation to an accepted client engagement.
34.2 Severability
If any provision is held invalid or unenforceable, it will be read down to the minimum extent necessary. The remaining provisions continue in effect.
34.3 No waiver
A failure or delay in enforcing a right is not a waiver of that right.
34.4 Assignment
You may not assign your rights under these Terms without LB’s written consent.
LB may assign or transfer its rights and obligations as part of a genuine restructuring, merger, succession or transfer of its practice or relevant business, subject to applicable law.
34.5 Headings
Headings are for convenience and do not affect interpretation.
34.6 Language
These Terms and the associated Personal Data Notice should be made available in English and Bahasa Malaysia.
